Authorised User means an individual who has been granted permission by an Account Holder to access the Services.
Customer Data means any information, documents, records, files or other content uploaded, entered, stored, transmitted or processed through FinancSync by or on behalf of a user.
Documentation means user guides, manuals, knowledge base articles and other supporting materials made available by FinancSync.
Fees means all charges payable for subscriptions, licences, products or services provided by FinancSync.
HMRC means His Majesty's Revenue and Customs.
Open Banking means regulated banking services that enable authorised access to financial information through approved banking interfaces.
Personal Information has the meaning given under the UK General Data Protection Regulation (UK GDPR).
Services means all software, applications, websites, APIs, integrations, support services and related products provided by FinancSync.
Software means the FinancSync accounting platform and any associated desktop, web or mobile applications.
Subscription means any paid or free plan that provides access to FinancSync Services.
Terms means these Terms and Conditions, together with any documents incorporated by reference.
User, You or Your means any individual or organisation accessing or using the Services.
To use FinancSync, you must meet the following eligibility requirements:
You must be at least 18 years of age.
You must have the legal capacity to enter into a binding agreement.
You must not be prohibited from using our Services under applicable law.
Where you are acting on behalf of a business or organisation, you must have authority to bind that entity to these Terms.

You are responsible for ensuring your payment information remains accurate and up to date.
If payment cannot be successfully processed, FinancSync may:

Recover outstanding amounts through lawful means.
Except where required by law, subscription fees are non-refundable once paid.

Free trials are available for a limited period only.
Certain features may be restricted during the trial period.
Trial availability may vary depending on your location or eligibility.
Only one free trial may be permitted per individual or organisation unless otherwise authorised by FinancSync.
Where payment details are required to activate a free trial, your subscription may automatically convert to a paid subscription at the end of the trial period unless cancelled beforehand.
It is your responsibility to cancel your subscription before the end of the trial period if you do not wish to continue using the paid Services.
FinancSync reserves the right to modify, extend, withdraw or terminate free trial offers at any time.
Subject to your compliance with these Terms and the payment of any applicable fees, FinancSync grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and use the Services solely for your internal business or personal purposes.
This licence does not transfer ownership of the Software or any intellectual property rights.
Except where expressly permitted by law or by FinancSync in writing, you must not:
Copy, reproduce or distribute the Software.
Modify, adapt or create derivative works.
Reverse engineer, decompile or disassemble any part of the Software.
Sell, lease, sublicense or commercially exploit the Software.
Remove or alter copyright notices, trademarks or proprietary markings.

Use the Software in any manner that infringes the rights of FinancSync or any third party.
All rights not expressly granted under these Terms are reserved by FinancSync Ltd.
Your licence to use the Software automatically ends upon termination of your account or these Terms, at which point you must immediately cease using the Services unless otherwise permitted by applicable law.
You agree to use FinancSync only for lawful purposes and in accordance with these Terms.
When using our Services, you agree to:

Attempt to gain unauthorised access to any system, network, account or data.
Interfere with the operation, availability or security of the Services.

Reverse engineer, decompile or otherwise attempt to discover the source code of the Software except where expressly permitted by law.
Use automated tools, bots, scripts or similar technologies to access the Services in an unauthorised manner.
Upload content that infringes copyright, trademarks or other intellectual property rights.
Use the Services to distribute spam, unsolicited communications or misleading information.
Impersonate another individual, business or organisation.
Submit false, inaccurate or misleading information.

Resell, sublicense or commercially exploit the Services without our prior written consent.
Use the Services in any way that may damage the reputation of FinancSync or its users.

You retain ownership of any information, documents, records, files or other content that you upload, create, store or process using FinancSync ("User Content").
By uploading or submitting User Content, you grant FinancSync a limited, non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit, display and otherwise use that content solely for the purpose of:
Providing the Services.
Maintaining your account.
Processing accounting and financial data.
Delivering requested features and integrations.
Performing backups and disaster recovery.
Maintaining system security.

You are responsible for maintaining appropriate backups where necessary.
You are responsible for obtaining all necessary consents and permissions required to process Customer Data through FinancSync.
FinancSync does not verify the accuracy, completeness or legality of Customer Data unless expressly agreed as part of a separate service.
Where permitted by law, FinancSync may create anonymised or aggregated statistical information that does not identify any individual or organisation for the purposes of improving our products, conducting research and analysing system performance.
All intellectual property rights relating to FinancSync and the Services are owned by or licensed to FinancSync Ltd.

The FinancSync name.
Logos and branding.
Software.
Source code.
Object code.
Website content.
User interface designs.
Graphics.
Icons.
Databases.
Documentation.
APIs.
Algorithms.
Artificial intelligence models developed by FinancSync.
Features, functionality and software updates.
Nothing contained in these Terms transfers ownership of any intellectual property rights to you.
Except as expressly permitted under these Terms, you must not:

FinancSync may provide Open Banking functionality to allow you to securely connect your financial accounts with authorised financial institutions.
By enabling Open Banking services, you acknowledge and agree that:
You authorise FinancSync to access financial information that you have permitted through authorised Open Banking providers.
Authentication is carried out by your bank or authorised Open Banking provider.
FinancSync does not receive or store your online banking passwords or security credentials.
Access to your financial information is limited to the permissions granted by you.
You may withdraw your consent for Open Banking access at any time through your account settings or your financial institution where applicable.
While we take reasonable steps to ensure secure integration with Open Banking providers, FinancSync is not responsible for interruptions, delays, errors or failures arising from third-party financial institutions or Open Banking providers.
FinancSync supports integrations with HM Revenue & Customs ("HMRC") to assist users in meeting their tax reporting and compliance obligations.
Where authorised by you, FinancSync may submit, retrieve or process information through HMRC-approved Application Programming Interfaces (APIs), including but not limited to:
Making Tax Digital (MTD).
VAT Returns.
Self Assessment.
Corporation Tax.
PAYE.
Employer Services.
Future HMRC digital services made available to authorised software providers.
You are solely responsible for ensuring that:
Information submitted to HMRC is accurate and complete.
Submission deadlines are met.
You have reviewed all returns before authorising submission.
You have the necessary authority to submit information on behalf of your business or clients.
FinancSync provides software to facilitate submissions but does not guarantee that any submission will be accepted by HMRC.
Acceptance, rejection or processing of submissions is determined solely by HMRC.
FinancSync shall not be liable for penalties, interest, surcharges or other consequences arising from inaccurate information provided by users or from delays or interruptions affecting HMRC systems that are beyond our reasonable control.
FinancSync may incorporate artificial intelligence ("AI"), machine learning and automation technologies to improve the efficiency, accuracy and functionality of our Services.
AI-powered features may include:
Receipt and invoice recognition.
Optical Character Recognition (OCR).
Bank transaction categorisation.
Bookkeeping recommendations.
Financial reporting assistance.
Payroll assistance.
Document classification.
Duplicate transaction detection.

FinancSync aims to provide reliable, secure and uninterrupted access to its Services.
However, we do not guarantee that the Services will always be available without interruption or error.
Access to the Services may occasionally be affected by:
Planned maintenance.
Emergency maintenance.
Software updates.
Security improvements.
Hardware failures.
Internet service interruptions.

FinancSync provides software designed to assist users with accounting, bookkeeping and financial management. You remain solely responsible for reviewing the accuracy of all financial records, tax calculations, reports and submissions before relying upon them or submitting them to HM Revenue & Customs or any other third party.
To the fullest extent permitted by law, FinancSync's total aggregate liability arising out of or in connection with these Terms or the Services shall not exceed the total subscription fees paid by you to FinancSync during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms shall exclude or limit liability for:
Death or personal injury caused by negligence.
Fraud or fraudulent misrepresentation.
Any liability that cannot lawfully be excluded or limited under applicable law.
You agree to indemnify, defend and hold harmless FinancSync Ltd, its directors, officers, employees, contractors, affiliates, licensors and service providers from and against any claims, liabilities, damages, losses, costs, expenses or legal fees arising out of or relating to:
